Whether the Court of Appeals misinterpreted and misapplied the federal law standard for opinion statement liability as set forth by the U.S. Supreme Court in Omnicare, Inc. v. Laborers District Council Construction Industry Pension Fund, 575 U.S. 175 (2015).  Whether the Court of Appeals misinterpreted and misapplied the federal law standard for pleading a violation of SEC Regulation S-K Item 303.  Whether the Court of Appeals misinterpreted and misapplied Washington law in reversing the trial court’s Rule 12(b)(6) dismissal when Plaintiffs’ own allegations pose an insuperable bar to relief.
