Amicus Issue:

Whether the Martin Act and Executive Law permit the NYAG to pursue the remedies of disgorgement and a lifetime ban on serving as an officer or director of a public company and participating in the securities industry.  Whether the disgorgement and permanent injunctive relief sought by the NYAG are preempted by the Supremacy Clause of the U.S. Constitution by the federal securities laws and by a consent decree entered with the SEC.
