Shanna Green is Managing Director and Head of Investment Banking Legal – Equity Capital Markets at Jefferies LLC. In this role, she leads the legal strategy and manages the legal execution of the firm’s investment banking and equity capital markets activities, advising on the full spectrum of public and private capital-raising transactions. Her experience spans initial public offerings, follow-on offerings, private placements, Rule 144A and Reg S cross-border offerings, registered and Rule 144 block trades, agented and brokered transactions, bought deals, SPAC transactions, and at-the-market offerings.
With more than 22 years of legal experience—including 16 years at Jefferies—Shanna is recognized for her deep expertise in transactional structuring, legal and regulatory compliance, and navigating complex capital markets matters. She also serves on FINRA’s Corporate Financing Committee, where she contributes to policy discussions and industry guidance on capital-raising and capital formation issues.
Before joining Jefferies, Shanna practiced at leading international law firms in New York and London. She holds a Juris Doctor from Cornell Law School and a Bachelor of Science degree from Cornell University.
