
Frank Kelley
Frank Kelley is a Director of Corporate Governance and Sustainability at DFIN, a global leader in regulatory compliance solutions and software. As the Head of Corporate Advisory, he is responsible for providing thought leadership on corporate governance, executive compensation, proxy disclosure & design, shareholder activism, and sustainability. He has deep expertise as the lead governance and/or sustainability strategist, consulting and briefing boards and NEOs, creating messaging, utilizing analytics to enhance voting, and advising clients on dialogue with investors.
Frank was formerly a Senior Analyst at the largest proxy advisor, Institutional Shareholder Services (ISS), where he reviewed corporate transactions, director independence, equity plans, ESG, say-on-pay, and shareholder proposals. Preceding ISS, Frank worked at MacKenzie Partners, a leading corporate and mutual fund proxy solicitor. During this time, Frank was responsible for helping to implement campaigns and strategies for some of the largest proxy fights of the 2010s. Before MacKenzie Partners, Frank served as a Consultant for Willis Towers Watson (WTW), advising corporate issuers and fund clients.
Prior to entering the corporate governance & sustainability world, Frank was a sell-side analyst in equity research, covering the Energy and Electric Utility sectors. He resides in New York City and Tampa, Florida.
