Amicus Issue:

Whether underwriters and advisors who help Florida companies issue securities are liable for any misstatement or omission made by the company under the Florida Securities and Investor Protection Act (FSIPA) – a provision similar to Federal Rule 10b-5 – even if the financial advisors reasonably believed the company’s statement was true, and even where the plaintiff didn’t rely on the statement.
